1. Introduction

Welcome to MidwayResource ("we," "us," or "our"). These Terms & Conditions ("Terms") are applicable to your usage of our yacht charter services and our website at midwayresource.site (the "Service"), managed by MidwayResource.

If you make a booking or utilize our Service, you consent to these Terms. Should you not agree with any section of these terms, you are not permitted to use the Service.

2. Service Overview

MidwayResource offers high-end yacht charter experiences, which include but are not restricted to:

• Daily yacht hires
• Evening cruises
• Business retreats
• Exclusive events
• Extended charters

All offerings are contingent upon availability and climatic conditions. We hold the authority to alter or cease services without prior notice.

3. Booking and Reservations

3.1 Booking Process

For booking a charter, the requirements are:

• Minimum age of 18 years
• Provision of correct and thorough information
• Depositing the necessary amount as indicated in your booking confirmation
• Acceptance of these Terms & Conditions

3.2 Confirmation

A booking is considered confirmed only after we have received the payment and issued a written confirmation. We may decline to offer service at our discretion.

3.3 Availability

Charter services are dependent on the availability of a vessel and favorable weather. We will endeavor to accommodate your preferred dates and times as much as possible.

4. Payment Terms

4.1 Pricing

Our prices are expressed in € and are inclusive of all relevant taxes unless specified otherwise. We reserve the right to change prices without prior notification.

4.2 Payment Schedule

• Deposit: 50% of the whole cost of the charter payable at the time of reservation
• Remaining balance: Payable 48 hours before the departure of the charter
• Incidental expenses (if applicable): Payable after the conclusion of the charter

4.3 Methods of Payment

Accepted payment methods include major credit cards, bank wire transfers, and certified bank drafts. All payments are processed securely with encryption technology.

5. Cancellation and Refund Policy

5.1 Customer Cancellations

• Over 72 hours before departure: Complete refund minus service fees
• 24-72 hours before departure: 50% refund
• Under 24 hours before departure: No refund

5.2 Cancellations Due to Weather

Should the weather render conditions unsafe as determined by our captain, we will propose to either:

• Move your charter to a new available date with no extra cost
• Issue a full refund if rescheduling is not possible

5.3 Mechanical Failures

If there's a mechanical failure with the designated vessel, we will strive to provide a similar replacement. Should no such alternative be available, we will offer a full reimbursement.

6. Safety and Conduct

6.1 Safety Rules

All guests are required to:

• Adhere to instructions given by the crew
• Use provided safety equipment as needed
• Disclose any health conditions that can impact their safety
• Stay within marked regions on the vessel

6.2 Restricted Items

Items prohibited on board include:

• Containers made of glass
• Illegal substances
• Weapons or firearms
• Excessive amounts of beverages (excluding non-alcoholic beverages)
• Animals (unless given prior authorization)

6.3 Behavior

Passengers are expected to behave respectfully. Any passenger conducts posing a danger to safety or disrupting others may lead to early termination of the charter without a refund.

7. Liability and Insurance

7.1 Our Responsibility

Our accountability is restricted to the sum paid for the charter. We are not liable for:

• Injuries suffered due to the recklessness of the passengers
• Lost or damaged personal belongings
• Indirect or punitive losses
• Delays because of weather or other situations outside our control

7.2 Insurance

We carry comprehensive marine insurance that covers our vessels and operations. It is the responsibility of passengers to secure their travel and personal insurance.

7.3 Acceptance of Risk

By participating in our charters, you recognize the inherent risks involved in maritime activities and take on the obligation for your own safety and security.

8. Modifications and Itinerary Changes

We keep the right to adjust itineraries, routes, and timetables due to weather, safety, or operational necessities. We will make every attempt to offer similar alternatives where possible.

9. Force Majeure

We cannot be held accountable for interruptions, cancellations, or alterations caused by events beyond our control, including but not exclusive to:

• Extreme weather
• Natural catastrophes
• Government orders
• Shutdowns of ports
• Vessel malfunctions

10. Privacy and Data Protection

Your private details will be managed following our Privacy Policy. By engaging with our services, you consent to the collection and usage of your details as outlined in our Privacy Policy.

11. Intellectual Property

Content on our website like text, graphics, and logos is covered by copyright and trademark law. Reproduction, distribution, or creation of derivative works is prohibited without our written consent.

12. Governing Law

Applicable laws of Spain shall govern these Terms. Any disagreements shall be adjudicated in courts located in Barcelona, Spain.

13. Changes to Terms

We reserve the right to modify these Terms at our discretion. Amendments will be posted on our website, reflecting the new revision date. Continued engagement with our services implies acceptance of the revised terms.
